Where does Insider Trading Information Come From?

This insider trading information involves any changes in beneficial ownership of shares in a public company. Insiders are required to report these transactions, also known as ownership reports, to the Securities and Exchange Commission. The Sarbanes-Oxley Act of 2002 amended the regulations governing the reporting of insider transactions in two siginificant ways. First, it shortened the reporting period, requiring insiders to report transactions within 2 business days. Second, it required that all reports be filed electronicially.

Why is Insider Trading Important?

According to the SEC: "Many investors believe that reports of directors' and executive officers' transactions in company equity securities provide useful information as to management's views of the performance or prospects of the company."
